Terms of Service

1. Service Description

Verified Workflows ("Service", "we", "us", "our") provides a human-in-the-loop review platform that connects clients with skilled reviewers for validation, correction, and improvement of AI-generated content. By accessing or using the Service, you agree to be bound by these Terms.

2. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into binding contracts. If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

3. Account Registration

You must provide accurate and complete information when creating an account.
You are responsible for maintaining the confidentiality of your account credentials.
You are responsible for all activities that occur under your account.
You must notify us immediately of any unauthorized use of your account.

4. Payment Terms

Clients are charged per task at the rates specified in their plan or at the standard rates published on our pricing page.
Task fees are debited from your account balance upon task submission.
Reviewer payouts are processed according to the payout schedule and minimum thresholds.
All fees are non-refundable except as expressly provided in these Terms or required by law.
We reserve the right to change pricing with 30 days' prior notice.

5. User Responsibilities

You will not submit tasks that contain illegal content, infringe on third-party rights, or violate applicable laws.
You will not attempt to manipulate the review process, including creating multiple accounts or submitting fraudulent reviews.
You will not use the Service to transmit malware, spam, or other harmful code.
You will comply with all applicable export controls and sanctions regulations.

6. Intellectual Property

You retain ownership of all content you submit to the Service ("Client Content").
By submitting Client Content, you grant Verified Workflows a limited license to process, store, and display such content solely for the purpose of providing the Service.
Reviewer corrections and feedback become part of the task result and are delivered to the client upon task completion.
The Verified Workflows platform, including its design, code, and trademarks, is owned by Verified Workflows Inc.

7. Confidentiality

Both parties agree to keep confidential any non-public information received from the other party. This obligation survives termination of these Terms for a period of 3 years.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERIFIED WORKFLOWS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

9. Termination

Either party may terminate these Terms at any time with 30 days' written notice.
We may suspend or terminate your account immediately if you violate these Terms.
Upon termination, your right to access the Service ceases immediately.
Outstanding payment obligations survive termination.
Sections 6-8, 10, and 11 survive termination.

10. Dispute Resolution

Any disputes arising from these Terms shall be resolved through binding arbitration in San Francisco, California, under the rules of the American Arbitration Association. You agree to resolve disputes individually and waive any right to participate in class actions.

11. General Provisions

These Terms constitute the entire agreement between you and Verified Workflows regarding the Service.
If any provision is held unenforceable, the remaining provisions remain in effect.
Our failure to enforce any provision does not constitute a waiver.
These Terms are governed by the laws of the State of California.
